Terms of Use
1. Acceptance of These Terms
These Terms of Use ("Terms") are a binding agreement between you ("you" or "User") and SlabDraw ("we," "us," "our"), operating out of Houston, Texas, governing your access to and use of the SlabDraw web application and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
One workspace per company. You represent that information you provide at registration is accurate, current, and complete, and you agree to keep it up to date.
3. Subscriptions, Trials, and Billing
The Service is offered on a free tier and paid subscription tiers. Paid plans are billed monthly, annually, or as a one-time lifetime purchase via our payment processor (Stripe). By selecting a paid plan, you authorize recurring charges to your payment method until you cancel.
- Trials: Free trials may be offered at our discretion. At the end of the trial, your subscription will automatically begin at the plan's standard rate unless you cancel before the trial ends.
- Cancellation: You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period; you will retain access through that date.
- Refunds: Except where required by law, fees are non-refundable. We may, at our discretion, issue refunds on a case-by-case basis.
- Price Changes: We may change pricing with at least thirty (30) days' notice via email or in-app notification. Price changes take effect on your next billing cycle.
- Lifetime plans: Lifetime purchases are a one-time payment providing perpetual access to the plan's features as of the purchase date, subject to continued availability of the Service. They are non-transferable and non-refundable after 14 days.
4. Your Content and Data
You retain ownership of the drawings, estimates, customer records, material libraries, and other content you upload or create in the Service ("Your Content"). You grant us a limited, non-exclusive license to host, process, display, back up, and transmit Your Content solely for the purpose of operating and providing the Service to you.
You are solely responsible for Your Content and for ensuring you have the rights to it. We do not claim ownership over Your Content.
5. Data Export and Deletion
You may export your estimates, invoices, and customer data at any time through the PDF export and share-link features. Upon account closure, we will retain your data for up to 30 days to allow recovery, after which it will be permanently deleted, except where longer retention is required by law (e.g., tax records).
6. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service for any unlawful purpose or to transmit malicious code, spam, or harassing content.
- Interfere with, disrupt, or overload the Service or other users' use of it.
- Share your account with individuals outside your workspace seat limit, or otherwise circumvent plan restrictions.
- Scrape, crawl, or use automated means to access the Service without our written permission.
- Resell, sublicense, or white-label the Service without a separate written agreement.
7. Intellectual Property
The Service, including the software, design, trademarks, and documentation, is and remains our exclusive property, protected by U.S. and international intellectual property laws. No rights are granted to you except the limited right to use the Service in accordance with these Terms and your active subscription.
8. Third-Party Services
We rely on third-party providers including Stripe (payments), SMTP email providers, and cloud hosting. Your use of the Service is also subject to those providers' terms. We are not responsible for third-party service outages or policies.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
SlabDraw is a tool for generating estimates and shop drawings. You are responsible for verifying dimensions, pricing, and specifications before relying on them for fabrication or quoting clients.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your infringement of any third party's rights.
12. Termination
You may close your account at any time from the Billing or Profile page. We may suspend or terminate your access if you violate these Terms, if payment fails, or if we discontinue the Service. Sections 4, 7, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via email or in-app notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
